Antitrust/ Competition Policy and Checklist

The primary role of EOSCA is to provide a forum for oilfield speciality chemical companies, and their support industries to meet and discuss developments of a technical and/or statutory nature concerning the application of chemicals in the oil and gas industry. EOSCA will pursue and support a policy which complies with the requirements for competition and antitrust applicable to all its areas of operation. In striving to achieve this EOSCA will

1. Make Membership to the Association freely available to eligible Companies.

2. Prepare an agenda for each meeting and distribute to all Members prior to the meeting.

3. As far as is possible limit discussion at meetings to the agenda items. Any deviations will only be allowed by the approval of the Chairman of each meeting whether a Board, Committee, Member or Sub Group meeting.

4. Take Minutes of each meeting and distribute to Members in accordance with the Articles of Association.

5. Not discuss matters bearing on the competitive relations between or among Members either formally at meetings or informally at any social gathering.

6. Implement the proper level of transparency in all it's dealings recognizing that certain sensitive material must remain confidential.

7. Distribute a copy of this document to each Member.

When EOSCA commissions project work externally then it will endeavour to

1. Write a specification of the work to be carried out and review the specification in Committee.

2. Generate a list of, if possible at least 3 Companies/ Organisations etc able to carry out the work. If more than 3 Companies/ Organisations are able to carry out the work then a pre-qualification process may be adopted to produce a short list of 3 which will be invited to tender for the work.

3. Evaluate Tenders in Committee and award work all in accordance with best competitive practice.
